Terms of Service

1. Acceptance of Terms

These Terms of Service («Terms») govern access to and use of the TezFit platform, website located at tez-fit.com, related software, mobile applications, branded mobile applications, customer-specific deployments, and related services (collectively, the «Service») provided by iSME LLC («TezFit», «we», «our», or «us»).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

The Service may be used by individuals, businesses, organizations, clubs, studios, schools, and other entities.

If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Description of Service

TezFit provides software and related services for fitness clubs, gyms, studios, sports academies, recreational facilities, and other organizations.

Features may include:

  • Membership management
  • Scheduling and bookings
  • Attendance tracking
  • Member management
  • Reporting and analytics
  • Mobile applications
  • White Label solutions
  • Additional features and services made available by TezFit

The Service may be provided through:

  • tez-fit.com
  • TezFit-operated subdomains
  • Customer-specific subdomains
  • TezFit Client App
  • Branded mobile applications

4. Trial Period

TezFit may offer a free trial period.
The availability, duration, scope, eligibility requirements, and features included in any trial period are determined solely by TezFit and may be modified, restricted, suspended, or discontinued at any time without notice.
No guarantee is made regarding the availability of any free trial.

5. Fees and Payment

Access to the Service may require payment of fees.
Fees may include:

  • Monthly subscriptions
  • Quarterly subscriptions
  • Annual subscriptions
  • Setup fees
  • White Label fees
  • Branding fees
  • Custom development fees
  • Integration fees
  • Professional services fees
  • Other fees communicated by TezFit

All fees are payable in accordance with the applicable order, invoice, subscription plan, or commercial agreement.

TezFit reserves the right to change pricing, fees, subscription plans, and billing structures at any time.

6. No Refund Policy

All payments are final.
Except where required by applicable law, all fees, subscriptions, setup fees, development fees, implementation fees, and other charges are non-refundable.
Cancellation of the Service does not entitle the customer to a refund for any unused portion of a subscription period.

7. Suspension for Non-Payment

TezFit may suspend or restrict access to the Service if any payment remains outstanding after its due date.
Suspension does not relieve the customer of payment obligations.
TezFit may restore access after all outstanding amounts have been paid.

8. Customer Accounts

Customers are responsible for:

  • Maintaining account security
  • Protecting login credentials
  • Managing authorized users
  • Ensuring information provided is accurate and current

Customers are responsible for all activities occurring under their accounts.

9. Customer Data

Customers retain ownership of all customer data, member data, business records, content, and information uploaded to or stored within the Service («Customer Data»).

Customers are solely responsible for:

  • The legality of Customer Data
  • Obtaining all necessary permissions and consents
  • Compliance with applicable laws and regulations
  • Accuracy and integrity of Customer Data

TezFit does not assume responsibility for Customer Data uploaded or processed through the Service.

10. Data Processing

For personal information processed on behalf of customers:

  • The customer acts as the Data Controller.
  • TezFit acts as the Data Processor.

TezFit processes personal information solely for the purpose of providing the Service and in accordance with customer instructions and applicable law.

11. Data Export

Customers may export data using the export functionality made available within the Service.

TezFit is not obligated to provide data exports in formats, structures, reports, or datasets beyond those supported by the Service at the time of export.

12. Data Retention and Deletion

Following termination or cancellation of the Service, TezFit may retain Customer Data for up to thirty (30) days.

After that period, Customer Data may be permanently deleted without further notice.

Customers are responsible for exporting any data they wish to retain before account termination or expiration of the retention period.

13. White Label Services

TezFit may offer White Label services that allow customers to use the Service under their own branding.

White Label services may be subject to additional fees, implementation requirements, technical limitations, and separate commercial agreements.

Unless otherwise agreed in writing, all underlying software, technology, infrastructure, and intellectual property remain the exclusive property of iSME LLC.

14. Custom Development and Enhancements

Customers may request custom development, integrations, branding modifications, features, enhancements, or other professional services.

Such services may be subject to separate fees, timelines, specifications, and agreements.

Unless otherwise agreed in writing:

  • All custom developments, enhancements, modifications, integrations, features, and related intellectual property created by TezFit become the property of iSME LLC.
  • TezFit may incorporate such developments into its products and services.
  • TezFit may make such developments available to other customers.

Payment for custom development does not transfer ownership of the resulting intellectual property.

15. Intellectual Property

The Service and all related materials, including but not limited to:

  • Software
  • Source code
  • User interfaces
  • Designs
  • Documentation
  • Databases
  • Trademarks
  • Logos
  • Technology
  • Reports
  • Content created by TezFit

are owned by or licensed to iSME LLC and are protected by applicable intellectual property laws.

No ownership rights are transferred to customers under these Terms.

16. Marketing Rights

Customer grants TezFit a non-exclusive, worldwide, royalty-free right to identify Customer as a user of the Service.

TezFit may display Customer’s name, logo, and publicly available branding on:

  • The TezFit website
  • Customer lists
  • Presentations
  • Marketing materials
  • Sales materials
  • Case studies

unless otherwise agreed in writing.

17. Prohibited Uses

Customers and users may not:

  • Copy the Service
  • Modify the Service
  • Reverse engineer the Service
  • Decompile the Service
  • Disassemble the Service
  • Attempt to derive source code
  • Circumvent security measures
  • Resell unauthorized access
  • Use the Service for unlawful activities
  • Interfere with operation of the Service
  • Introduce malicious code or harmful software
  • Violate applicable laws or regulations

18. Service Availability

The Service is provided on an «as is» and «as available» basis.

TezFit does not guarantee:

  • Continuous availability
  • Uninterrupted operation
  • Error-free performance
  • Specific uptime levels
  • Availability of any feature at any time

Features may be modified, replaced, restricted, or discontinued at TezFit’s discretion.

19. Termination

Customers may cancel the Service at any time.

TezFit may suspend or terminate access to the Service if a customer:

  • Violates these Terms
  • Fails to pay applicable fees
  • Uses the Service unlawfull
  • Creates security risks
  • Interferes with operation of the Service

Termination does not relieve customers of outstanding payment obligations.

20. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, statutory, or otherwise.

TezFit disclaims all warranties including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Reliability
  • Availability

21. Limitation of Liability

To the maximum extent permitted by law, TezFit, iSME LLC, its directors, employees, contractors, partners, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

TezFit’s total aggregate liability arising out of or relating to the Service shall not exceed the total amount paid by the customer to TezFit during the three (3) months immediately preceding the event giving rise to the claim.

22. Indemnification

Customers agree to defend, indemnify, and hold harmless TezFit, iSME LLC, and their affiliates, officers, employees, and contractors from claims, liabilities, damages, losses, and expenses arising from:

  • Customer Data
  • Customer activities
  • Violation of these Terms
  • Violation of applicable laws
  • Infringement of third-party rights

23. Changes to the Service and Terms

TezFit may modify the Service and these Terms at any time.

Updated Terms become effective upon publication.

Continued use of the Service after publication of updated Terms constitutes acceptance of the revised Terms.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan, without regard to conflict of law principles.

25. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Kazakhstan.
